These Terms of Service ("Terms") are a binding legal agreement between you ("you," "your," or "Customer") and CommandAGI INC ("CommandAGI," "we," "us," or "our") that governs your access to and use of the Services. By creating an account, clicking to accept, or accessing or using the Services, you agree to these Terms, our Privacy Policy, our Acceptable Use Policy, and any other policies or order forms incorporated by reference. If you use the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization, and "you" includes that organization. If you do not agree, do not access or use the Services. PLEASE READ SECTION 21 (DISPUTE RESOLUTION; ARBITRATION; CLASS-ACTION WAIVER) CAREFULLY — IT AFFECTS HOW DISPUTES ARE RESOLVED AND, FOR U.S. USERS, REQUIRES INDIVIDUAL ARBITRATION AND WAIVES JURY TRIALS AND CLASS ACTIONS UNLESS YOU OPT OUT.
"Services" means CommandAGI's websites, applications, APIs, agent runtimes, cloud and simulated environments, marketplace, and related features. "Account" means your registration to use the Services. "Credits" means the prepaid units used to access metered Services. "Your Content" means the content, code, data, prompts, configurations, and the outputs and artifacts you provide or generate through the Services — including documents, designs, 3D models, schematics and PCB layouts, video and audio productions, datasets, models you train, world snapshots, and the applications or sites you build and host (collectively, your "Artifacts"). "Agent" means an autonomous or semi-autonomous software process you configure or operate through the Services. "Marketplace" means the two-sided market for listing and renting resources, governed additionally by the Marketplace Terms.
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction, if higher) and capable of forming a binding contract to the extent required, and you must not be barred from using the Services under applicable law. Where transacting (for example, purchasing credits or selling on the Marketplace) requires the age of majority in your jurisdiction, you must meet that age to transact. If we learn that an account holder is under 13, we will delete the account and its associated data.
Some features are age-restricted. Certain advanced AI models and agents — currently those built on third-party (OpenAI-based) models — and the live streams produced using them are available only to users who are 18 or older. We apply these limits as a precaution in light of documented risks of deploying certain models; CommandAGI's own first-party models are not age-restricted absent evidence of specific risk. We may ask you to confirm your date of birth before using an age-restricted model or watching an age-restricted stream, and we will not start a restricted thread until your age is confirmed. Age is self-attested; providing a false age, or helping a minor circumvent these limits, is a breach of these Terms and our Acceptable Use Policy. Your date of birth is used to determine eligibility and, once provided, cannot be unset.
You agree to provide accurate, current, and complete registration information and to keep it updated. You are responsible for all activity under your Account and for maintaining the confidentiality of your credentials. Notify us promptly at legal@commandagi.com of any unauthorized use or suspected breach. We are not liable for losses arising from unauthorized use of your Account.
CommandAGI lets you launch agents into cloud VMs and simulated environments, observe and interact with them, snapshot world state, fork from snapshots, and list or rent resources on the Marketplace. Compute is a finite, capacity-constrained resource provided on a best-effort basis subject to availability, quotas, fair-use limits, and maintenance. We may add, change, suspend, deprecate, or discontinue features or impose or modify limits at any time to protect the integrity, security, legality, or availability of the Services; where a change is material and adverse, we will use reasonable efforts to notify you.
We may offer features identified as alpha, beta, preview, experimental, or evaluation ("Beta Features"). Beta Features are provided "as is," may be changed or withdrawn at any time, may be unstable, and are excluded from any service commitments. Your use of Beta Features is at your own risk.
Usage is priced in Credits (1 Credit = US$0.01) and billed pay-in-advance, so usage cannot exceed your available balance. Current prices and rates are shown in the Services and may change prospectively.
You authorize us and our payment processor to charge your selected payment method for Credit purchases, subscriptions, auto-reload (if enabled), and any applicable taxes and fees. You represent that you are authorized to use the payment method you provide.
Except where required by applicable law or expressly stated in writing, Credits and amounts paid are non-refundable; Credits are not legal tender, carry no interest, have no cash value outside the Services, are non-transferable, and may expire as disclosed at purchase. Promotional Credits may carry additional conditions and may be revoked for abuse.
Credits are a prepaid means of accessing the Services. They are not a deposit account, electronic money, or a stored-value instrument redeemable for cash, and they are not insured or guaranteed by the FDIC, SIPC, or any government agency or insurance program. We may choose to hold reserves intended to back outstanding Credits and may publish reserve information for transparency, but doing so does not make Credits a deposit, a security, or a guaranteed obligation, and does not create any trust, fiduciary, or custodial relationship except as expressly stated in writing.
Fees are exclusive of taxes. You are responsible for all sales, use, value-added, withholding, and similar taxes, excluding taxes on our net income. If you are tax-exempt, you must provide valid documentation.
You are responsible for charges you incur, including those resulting from your agents' autonomous behavior. If a charge is reversed or a chargeback is filed, we may suspend your Account and recover amounts owed. We may correct billing errors even after a charge has been made.
Your use of the Services is subject to our Acceptable Use Policy, which is incorporated by reference. You are responsible for all use of the Services through your Account, including by your agents and your end users. We may investigate suspected violations and may suspend or terminate access, remove content or listings, and reverse related Credits or earnings for actual or suspected violations or to protect the Services, users, or the public.
You own what you make. As between you and CommandAGI, you retain all right, title, and interest in and to Your Content, including the Artifacts you create through the Services (such as code, documents, designs, 3D models, schematics and PCB layouts, video and audio productions, datasets, models you train, world snapshots, and the applications or sites you build and host). To the extent any Artifact, or any output generated for you by the Services, would otherwise be owned by us, we hereby assign to you all of our right, title, and interest in and to it, effective upon its creation. You are free to use, modify, distribute, sell, and otherwise commercialize Your Content and your Artifacts for any lawful purpose, and we claim no ownership of them. This is true whether you use CommandAGI's own first-party models or third-party models made available through the Services (subject only to any separate terms of a third-party model provider).
To run the Services, you grant us a worldwide, non-exclusive, royalty-free, fully paid, sublicensable (to our service providers acting on our behalf), and transferable license to host, store, reproduce, process, transmit, display, perform, and create technical copies and derivative works of Your Content solely as needed to operate, secure, provide, support, and improve the Services and the features you use, and to comply with law. This license does not transfer ownership, is limited to those purposes, and ends when you delete the relevant content or close your Account — except for (a) copies retained in routine backups for a limited period, (b) de-identified or aggregated data, (c) copies we must retain to comply with law, and (d) any broader rights you separately grant when you choose to publish, list, or share content (for example, on the Marketplace or as a public stream).
We use Your Content to train models only as described in the Privacy Policy — wherever feasible using de-identified or aggregated data, and you may opt out of the use of your identifiable content for model training. We do not need to own your Artifacts to provide the Services, and your ownership of them is not diminished by this training use or by the aggregated, anonymized, and de-identified data and insights we may create, use, retain, and commercialize (which do not identify you). We do not sell your identifiable personal data (see the Privacy Policy).
You represent and warrant that you own or have all rights, licenses, consents, and permissions necessary to provide Your Content and to grant these licenses, and that Your Content and its use by us in accordance with these Terms do not and will not violate any law or infringe or misappropriate any third-party right.
If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit the Feedback for any purpose without restriction or obligation to you.
Agents you configure or operate may act with a degree of autonomy, including by browsing, executing code, controlling devices, transacting, and interacting with third-party systems. You are solely responsible for configuring, supervising, and constraining your agents and for all actions they take and outcomes they cause, as if you had taken those actions yourself. You must not direct or permit agents to access systems you are not authorized to access or to take actions that violate these Terms, the Acceptable Use Policy, or applicable law.
The Services use artificial intelligence and may generate output that is inaccurate, incomplete, outdated, offensive, or otherwise inappropriate, and that does not reflect our views. Output may not be unique and may be generated for other users. You are responsible for evaluating output for accuracy and suitability before relying on it, and you must not rely on the Services as a sole basis for decisions with legal, financial, medical, safety, or other significant consequences. We make no warranty that output is accurate or fit for any purpose.
Listing, renting, buying, and selling robots, computers, simulations, agents, data, templates, and streams are additionally governed by the Marketplace Terms, the Provider Agreement, and the Data & Streams Policy. CommandAGI operates the Marketplace, metering, settlement, and payouts but, except where it is itself the provider, acts solely as an intermediary and is not a party to transactions between users. We do not guarantee the quality, safety, legality, or availability of resources listed by others.
The Services may interoperate with or provide access to third-party services, content, and accounts that we do not control. Your use of those third parties is governed by their terms and policies, and we are not responsible for their acts, omissions, availability, content, or practices. Connecting a third-party account authorizes us to act on your behalf only as you direct.
The Services, including all software, models, designs, text, graphics, trademarks, logos, and other content we provide, and all intellectual-property rights therein, are owned by CommandAGI or its licensors and are protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal or personal purposes. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, or create derivative works of the Services, or remove proprietary notices, except to the extent these restrictions are prohibited by applicable law.
We respect intellectual-property rights and will respond to notices of alleged infringement that comply with the U.S. Digital Millennium Copyright Act (DMCA) and similar laws. If you believe content on the Services infringes your copyright, send a notice with the required information to our designated agent at legal@commandagi.com. We may remove allegedly infringing material, and we may terminate the accounts of repeat infringers in appropriate circumstances. Submitting a knowingly false notice or counter-notice may result in liability.
You may stop using the Services and close your Account at any time. We may suspend or terminate your access to all or part of the Services, with or without notice, for actual or suspected violation of these Terms or our policies, non-payment, to protect the Services or others, or as required by law, and we may do so immediately where appropriate.
On termination, your license to use the Services ends, and we may delete or de-identify Your Content after a reasonable period, subject to legal retention obligations. Unused Credits are forfeited on termination for cause and otherwise as permitted by law. Sections that by their nature should survive termination will survive, including Sections 5, 7, 8, 9, 10, 13, 16, 17, 18, 19, 20, 21, 22, and 26.
THE SERVICES, INCLUDING ALL CONTENT, MODELS, OUTPUT, AND THIRD-PARTY AND MARKETPLACE RESOURCES, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT AGENTS WILL BEHAVE AS INTENDED, OR THAT ANY RESULT WILL BE ACHIEVED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME EXCLUSIONS MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER COMMANDAGI NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR BUSINESS, OR FOR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID US FOR THE SERVICES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100.
THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND ARE A FUNDAMENTAL BASIS OF THE BARGAIN. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU; IN THAT CASE OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED.
You will defend, indemnify, and hold harmless CommandAGI and its affiliates, officers, directors, employees, and agents from and against any third-party claims, demands, actions, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Services; Your Content; your agents and the actions they take; your listings, transactions, or hosted hardware; your violation of these Terms, our policies, or applicable law; or your infringement or misappropriation of any third-party right. We may assume the exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with us.
You must comply with all applicable export, re-export, sanctions, and import laws, including those of the United States. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive sanctions, that you are not on any government restricted-party list, and that you will not use the Services in violation of such laws or to provide access to prohibited persons. The Services may not be used for prohibited end uses (such as certain weapons-related activities).
The Services and related software are "commercial products," "commercial computer software," and "commercial computer software documentation." Any use, modification, reproduction, or disclosure by or on behalf of the U.S. Government is governed solely by these Terms, consistent with FAR 12.212 and DFARS 227.7202.
Informal resolution first: before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@commandagi.com and giving us 60 days to resolve it. Most disputes can be resolved this way.
Binding arbitration (U.S. users): except as set out below, you and CommandAGI agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by final and binding individual arbitration administered by a recognized arbitration provider under its applicable rules, rather than in court. The Federal Arbitration Act governs the interpretation and enforcement of this section.
Class-action and jury-trial waiver: YOU AND COMMANDAGI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING, AND THAT EACH WAIVES ANY RIGHT TO A JURY TRIAL.
Exceptions: either party may bring an individual action in small-claims court, and either party may seek injunctive or equitable relief in court for actual or threatened infringement or misuse of intellectual property or unauthorized access to the Services. Nothing in this section limits non-waivable rights.
30-day opt-out: you may opt out of arbitration and the class-action waiver by sending written notice to legal@commandagi.com within 30 days of first accepting these Terms; opting out will not affect any other part of these Terms.
If the class-action waiver is found unenforceable as to a particular claim, that claim will proceed in court, but the rest of this section remains in effect.
These Terms and any dispute not subject to arbitration are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules, and, where applicable, the Federal Arbitration Act. To the extent a dispute is not subject to arbitration and may be brought in court, the state and federal courts located in Delaware will have exclusive jurisdiction and venue, and you consent to personal jurisdiction there. Mandatory consumer-protection rights in your country of residence continue to apply where they cannot be waived.
We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, epidemics or pandemics, power or internet failures, denial-of-service attacks, or failures of suppliers or third-party services.
We may modify these Terms from time to time. We will post the updated Terms with a revised "Last updated" date and, for material changes, provide additional notice. Changes are effective when posted unless otherwise stated. Your continued use of the Services after the effective date constitutes acceptance. If you do not agree to the changes, you must stop using the Services. If a change to the arbitration section is material, you may reject it as described in that section.
Entire agreement: these Terms, together with the policies and any order forms incorporated by reference, are the entire agreement between you and us regarding the Services and supersede all prior agreements on the subject.
Assignment: you may not assign or transfer these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, financing, or sale of assets. These Terms bind permitted successors and assigns.
Severability and waiver: if any provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver.
No third-party beneficiaries; relationship: there are no third-party beneficiaries to these Terms (except our indemnified parties), and the parties are independent contractors.
Notices: we may provide notices to you by email, through the Services, or by posting; you may provide notices to us at legal@commandagi.com. Section headings are for convenience only.
The Services let users create, publish, share, and exchange content — including public threads, live streams, recordings, snapshots, profiles, marketplace listings, ratings and reviews, and messages between users and between users and agents ("User Content"). User Content is created and published by the user who provides it and reflects that user's views and choices, not CommandAGI's. As to User Content, we act as a host and intermediary that stores and transmits content at users' direction.
We do not pre-screen, approve, adopt, or endorse User Content, and we have no obligation to monitor it. We may, but are not required to, review, moderate, filter, restrict, remove, or disable access to User Content at our discretion — including under the Acceptable Use Policy, Section 6, and Section 15 — and doing so in some cases does not create an obligation to do so in others. To the maximum extent permitted by law, we are not responsible or liable for User Content, for any reliance on it, or for the conduct of other users or your interactions or disputes with them, and you access and use User Content at your own risk.
To the maximum extent permitted by law, we reserve and may invoke all protections, immunities, and safe harbors available to providers, hosts, and intermediaries of user-generated and third-party content, including under Section 230 of the U.S. Communications Decency Act (47 U.S.C. § 230) and comparable hosting and intermediary-liability provisions in other jurisdictions. This Section concerns content that users originate. Content that CommandAGI itself originates, generates, or publishes — addressed in Section 10 and our policies — is treated separately, and nothing here is a representation that we are a neutral host of our own content.
If you believe User Content is unlawful, infringing, or otherwise objectionable, report it to legal@commandagi.com or through any in-product reporting tools; copyright complaints follow the notice process in Section 14.
SMS is an optional convenience and is not required to use CommandAGI. You can create an account, purchase credits, run agents, and complete any task without enrolling in SMS, and the same information is always available in your account on the website and apps. Consent to receive SMS messages is not a condition of purchasing or using any goods or services. These SMS terms apply only if you provide a mobile number and opt in to text messaging from CommandAGI (for example, on our SMS opt-in page or in your account settings). By opting in, you consent to receive customer-care and conversational SMS messages from CommandAGI related to your agents — for example task updates, clarification requests, approval requests, status updates, and responses to your inquiries. This is customer-care and conversational messaging, not marketing.
Message frequency varies based on your activity, the agents you authorize, and the tasks you request. Message and data rates may apply, depending on your mobile carrier and plan.
Reply STOP to any message to cancel; you will receive a final confirmation and then no further SMS messages unless you opt in again. Reply HELP for help. You may opt out at any time.
Consent to receive SMS messages is not a condition of purchasing any goods or services. You are responsible for providing a valid mobile number that you own or are authorized to use, and for notifying us if you stop using that number.
CommandAGI may stop sending messages, suspend, or remove a number from the program at any time, including if a number becomes invalid, unreachable, reassigned, or if usage is abusive or noncompliant with these Terms or carrier requirements. Mobile carriers are not liable for delayed or undelivered messages. For help with SMS messaging, contact hello@commandagi.com. Terms of Service forms part of the agreements governing your use of CommandAGI and should be read together with our other policies. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in full force and effect.
